2. Definitions
- Precisian: the legal entity identified above.
- Client: the legal entity that hires Precisian's services.
- User: any person who accesses the website or the published materials.
- Platforms: third-party services from which we read data with the Client's authorization, including Google Analytics, Google Search Console, Google Ads, Meta Ads, Instagram, LinkedIn Ads, Pinterest Ads, RD Station Marketing and CRM, VTEX, Uappi, Ollow (formerly Moskit) and Octadesk.
- Client Data: the information read from the Platforms with authorization, the data sent by the Client and the events collected by the Precisian Pixel on the Client's website.
- Service: the consolidation, processing and presentation of Client Data in reports, dashboards and analyses.
3. Purpose and scope of the service
Precisian provides marketing and e-commerce data engineering and analytics services, which include tracking implementation, structuring of product catalogs and feeds, consolidation of data in its own database and delivery of reports and dashboards.
Access to the Platforms is read-only. Precisian reads metrics and records for reporting and analysis purposes. Unless a different scope is expressly contracted in writing, Precisian does not create, edit, pause, activate or delete campaigns, ads, budgets, posts, products or orders on behalf of the Client.
The reports and analyses delivered are decision support tools. Business decisions, media investment and commercial results remain the sole responsibility of the Client. Precisian does not guarantee sales performance, revenue, return on investment or ranking on any channel.
The data presented depends on the availability, integrity and sampling rules of the source Platforms. Discrepancies between platforms are inherent to each provider's different measurement methodologies and do not constitute a failure of the Service.
4. Authorization to access the platforms
By connecting an account, the Client expressly authorizes Precisian to access that account on its behalf, as a service provider, exclusively for the purposes described in section 3 and for as long as the agreement lasts.
The Client represents and warrants that:
- It owns the connected accounts, or has formal authorization from the owner to connect them.
- It has sufficient contractual authority to bind the account owner to the terms and conditions of the corresponding Platform, including the advertising and data processing agreements required by each provider.
- It has obtained all legal bases, authorizations and consents required from the data subjects whose data flows through these accounts, and has given them the notices required by applicable law.
Precisian acts as a processor with respect to Client Data, processing it only according to the instructions of the Client, who is the controller of this data.
5. Credentials, connections and revocation
Connections are made through secure login (OAuth) or through an access key generated by the Client inside its own account. Credentials are stored securely and used only to operate the Service.
The Client may revoke any connection at any time, directly in the connected apps settings of the corresponding Platform or by request to Precisian. Revocation immediately stops new reads. Data already consolidated follows the deletion rule in section 9.
The Client is responsible for keeping the access credentials to the dashboards provided by Precisian confidential and must immediately report any unauthorized use. Periodic rotation of the access keys generated on e-commerce platforms is recommended.
6. Client obligations
- Provide true, complete and up-to-date information.
- Keep the access authorizations active for as long as it wishes to receive the Service, and report changes in account ownership.
- Comply with the terms of use and policies of all connected Platforms.
- Ensure, as controller, the legal basis and the privacy notices owed to the data subjects whose data is present in its accounts, including lead generation forms and audience lists.
- Not use the Service for unlawful, discriminatory or misleading purposes, or for purposes that violate third-party rights.
- Not attempt to access other clients' data, bypass access controls, reverse engineer the systems or extract content in an automated way without authorization.
7. Precisian's obligations and limits
- Segregation by client. Each Client accesses only its own data. Precisian does not cross-reference, combine or compare one Client's data with another's.
- No sale of data. Precisian does not sell, rent, license or transfer Client Data. It does not redistribute to third parties the content obtained from the Platforms' APIs, nor make it available to any other advertising or analytics service.
- Use restricted to the purpose. Client Data is used only to provide and improve the Service contracted by that Client.
- Restricted access. Only authorized Precisian personnel access Client Data, under a confidentiality obligation, and only when necessary for operation, support or security.
- Any market studies and benchmarks will use exclusively aggregated and anonymized information, with no identification of any advertiser, store, campaign or person.
- Precisian does not use Client Data to train general-purpose artificial intelligence models, nor does it make it available to third parties for that purpose.
8. Compliance with provider policies
The Service depends on applications and integrations registered by Precisian with each provider. Precisian undertakes to operate in compliance with the API terms of use and the data policies of each Platform. The Client acknowledges that access to a Platform may be suspended, limited or terminated by decision of the provider itself, which does not constitute a breach by Precisian.
8.1. Data from Google APIs
Precisian's use and transfer of information received from Google APIs comply with the Google API Services User Data Policy, including the Limited Use requirements.
Where there is processing of personal data subject to the GDPR in connection with Google Ads, the parties will observe the applicable data protection terms required by Google, which the Client declares it knows and accepts when connecting the account.
8.2. Other platforms
Advertising data obtained from Meta, LinkedIn and Pinterest is used exclusively to serve the Client that authorized access, as permitted by each provider's terms, with no redistribution to third parties and no cross-use between clients.
9. Data processing, retention and deletion
The processing of personal data is described in detail in our Privacy Policy, which forms part of these Terms.
In summary:
- Client Data is kept while the agreement is in force, to allow historical comparisons.
- Once the agreement ends, Client Data is deleted within 30 days, unless there is a legal obligation to retain it.
- Deletion requests made while the agreement is in force are fulfilled within 10 days of identity confirmation.
- Access credentials are revoked and deleted when the connection is removed or the agreement ends.
Deletion requests must be sent to [email protected]. The full procedure is described in How to request deletion of your data.
Before termination, the Client may request an export of the reports and dashboards produced while the agreement was in force.
10. Intellectual property
The Precisian brand, the website, texts, materials, methodology, code, data models, dashboards and tools developed are owned by Precisian and protected by intellectual property law. The agreement grants the Client a limited, non-exclusive and non-transferable license to use them, restricted to the term and purposes of the Service.
The Client's raw data remains the Client's. Nothing in these Terms transfers to Precisian ownership of the Client's business data, catalog or contact base.
Reproduction, distribution or modification of any content on the website without prior written authorization is prohibited. Quotations with attribution and a link to the source are allowed.
11. Confidentiality
The parties undertake to keep confidential the confidential information they have access to, including performance data, strategy, prices, code and documentation, and not to disclose it to third parties without authorization. This obligation remains in force for 5 years after the end of the relationship, unless a longer period is set in a specific agreement.
Precisian may mention the Client's name and brand as a commercial reference only with prior authorization. Case studies with figures will only be published with the Client's written approval.
12. Availability, support and warranties
Precisian will make reasonable efforts to keep dashboards and reports available, but does not guarantee uninterrupted or error-free operation. There may be unavailability due to scheduled maintenance, failure of an infrastructure provider, unavailability of the source Platforms or events beyond the parties' control.
Response times and support channels, when applicable, are defined in the commercial proposal or in the agreement.
13. Prices and payment
Amounts, scope, frequency and payment method are defined in the commercial proposal accepted by the Client. Prices published on the website are for reference and may be changed at any time, with no effect on agreements already signed.
Late payment may lead to suspension of the Service, after prior notice, without prejudice to the charges set out in the agreement.
14. Limitation of liability
To the maximum extent permitted by applicable law, Precisian is not liable for lost profits, loss of opportunity, or indirect or consequential damages arising from the use of or inability to use the Service.
Precisian's total liability, for any cause, is limited to the amount actually paid by the Client in the 12 months before the event that gave rise to the claim.
Precisian is not liable for business decisions made by the Client, for unavailability, unilateral changes, discontinuation or measurement errors of third-party Platforms, or for incorrect data originating outside its control.
These limitations do not exclude liabilities that cannot be limited by law, including those arising from willful misconduct, and do not apply to consumer relationships to the extent that the Brazilian Consumer Protection Code prohibits such limitation.
15. Permitted use of the website and materials
The guides, calculators, diagnostics and other published materials are made available for informational use. Using them for resale, republishing them without attribution, or any activity that overloads, compromises or attempts to circumvent the security of the infrastructure is prohibited.
Precisian may restrict or terminate the access of anyone who breaches this section.
16. Term and termination
These Terms remain in force for as long as the website is used or the Service is provided. Contract termination follows the conditions of the commercial proposal or of the signed agreement.
Once the relationship ends, the clauses on confidentiality, intellectual property, limitation of liability, data processing and deletion, and jurisdiction remain in force.
17. Changes to these Terms
Precisian may update these Terms to reflect legal, technical or service changes. The date of the last update always appears at the top of the page. Changes relevant to active clients will be communicated with reasonable notice through the registered contact channels. Continued use after the notice implies acceptance of the new version.
18. Governing law and jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Judicial District of Curitiba, Paraná are chosen, to the exclusion of any other, however privileged, to settle disputes arising from these Terms, without prejudice to the consumer's legally guaranteed right to file a claim in the courts of their place of residence.
